Terms and conditions for using easyOffice
FACILITIES AND SERVICES
1. In consideration of the payment by the Customer of the fees to easyOffice through the online booking at www.easyOffice.co.uk for the dates and services booked and confirmed, easyOffice permits the Customer to share with easyOffice the use of the Accommodation as set out here and subject to these terms.
2. easyOffice agrees to provide or procure the provision at the Accommodation of furnished office(s) for the dates booked.
3. The Licence Fee is inclusive of rates, service charges, building management, building insurances (but excluding the Customer’s own fittings), lighting, heating and cleaning all as provided at the discretion of easyOffice.
PAYMENT, DURATION AND TERMINATION
4. The Customer shall pay easyOffice for the use of the Accommodation and other goods and services as purchased from time to time whether demanded or not and whether booked and paid for on the easyOffice web site as would usually happen; the sums to be as set out on the web site. VAT will be payable in addition at the applicable rate from time to time. Where any fees are not paid on demand easyOffice is entitled to ask the Customer to vacate the premises on a permanent basis, who shall co-operate and do so in a timely manner.
5. The Customer shall:
(a) Bring acceptable proof of Identification on the day of moving in to easyOffice. Only an original valid passport or valid driving licence is accepted together with a recent utility bill to show the current home address.
(b) Pay on demand to the easyOffice (by monthly direct debit if required) the charges made by the easyOffice from time to time for all voice and data telecommunication services relating to the Accommodation and for the use of fax, consumables, photocopying, secretarial word-processing, conference facilities, internet facilities, car parking and other services in the Premises of which use is made by the Customer.
(c) Pay to the easyOffice interest at the rate of 4% per annum above the base rate from time to time of Barclays Bank PLC on any sum payable under this Agreement which remains unpaid for 7 days from the due date such interest in that event being calculated from the due date to the date of payment.
(d) Pay all sums due to the easyOffice under this Licence without any deduction or set off. Sums are ordinarily paid via the easyOffice website. If the site is unavailable or otherwise not able to take bookings or payments then easyOffice may, at its discretion, permit payments by other methods which may incur extra fees which the Customer agrees to pay when demanded.
6. If the Customer being a company shall enter into liquidation whether compulsory or voluntary (save for the purpose of reconstruction or amalgamation) or have an administration order made against it or being an individual shall have a bankruptcy order made against him, easyOffice will have the right, with or without notice to the Customer, in addition to and not in lieu of other remedies available, to terminate all of the Customer’s rights under the Agreement. Upon any such action by easyOffice, the Customer will remain liable for all obligations which have previously accrued. For overseas Customers, the local equivalent of these bankruptcy terms shall be applied to the effect that the obligation to provide accommodation or other services shall terminate.
7. (a) easyOffice may at its discretion require the Customer to pay a reasonable deposit which the Customer agrees to pay as requested.
(b) In the event of any deduction of the sum due to be returned to the Customer as a result of any default of the Customer, the Customer shall pay to the easyOffice any such sum deducted within 14 days of being notified of such deduction.
8. This Licence may be determined forthwith in the event of any breach of the obligations on the part of the Customer. easyOffice shall be entitled (but not obliged) to retain any furniture, personal effects or other belongings of the Customer until all arrears owed to the easyOffice have been paid or other loss made good and in the event of non-payment within 14 days the easyOffice shall be entitled to dispose of any goods retained in settlement of any arrears and any costs of disposal.
9. The Customers allocated keys must be returned on the last day of the Licence at the latest. If not returned in a few days to follow, the deposit will not be able to be refunded.
10. Refunds: When you cancel a booking a 10% cancellation fee will be charged. The balance will remain on your easyOffice account for a period of 12 months and in that time may be used to make bookings at any easyoffice location
CUSTOMER’S RIGHTS AND RESPONSIBILITIES
11. The Customer shall be entitled:
(a) To carry on the Customer’s business in the Accommodation, subject to the restrictions set out here and in the general law which the Customer agrees are reasonable. The easyOffice shall be entitled to require the Customer to use any similar sized premises in the Premises that the easyOffice may allocate from time to time and any such substituted premises shall become the Accommodation. The Customer agrees to this moving and will co-operate and move its effects in an effective and timely manner.
(b) To use (in common with other Customers of the Premises) the sanitary facilities provided.
(c) To have access to the Accommodation when it is stated to be open, subject to outside exigencies, during the usual hours of 8am – 8pm, easyOffice not undertaking to provide personnel during all or any of those hours.
12. The Customer shall not:
(a) Impede or interfere with the easyOffice’s right of possession and control of the Accommodation.
(b) Use the Accommodation otherwise than for the Customer’s business and in any event shall not permit the Accommodation to be used for any illegal activity. It is expressly agreed that the Accommodation is not for overnight stay
(c) Install in the Accommodation any furniture or equipment without prior written approval of the easyOffice.
(d) Alter the Accommodation, its partitioning or any fixtures or fittings
(e) Act unreasonably in relation to the other occupants and businesses in the easyOffice at that site, taking into account the close proximity and need for a suitably quiet working environment.
(f) Interfere with the conduct of the easyOffice's business and during the period of this Licence and for six months thereafter, shall not offer employment to or engage directly or indirectly any individuals employed, or engaged as consultants, by easyOffice. Without prejudice to any rights or remedies that easyOffice may have for any breach of the foregoing, if the Customer shall employ or engage, directly or indirectly, any employee or consultant employed or engaged by the easyOffice during such period, the Customer shall pay to the easyOffice, within seven days of the said individual commencing his or her employment or engagement with the Customer, an agreed payment of damages equivalent to 50% of the relevant individual's then current gross salary, including guaranteed bonuses and the value of benefits in kind. This payment is an agreed pre-estimate of the likely cost to the easyOffice of such a breach (including without limitation temporary worker requirements and recruitment and training costs).
(g) Damage any of the decorations, fixtures and fittings or other equipment in the Accommodation.
(h) Use the Accommodation in any way which results in annoyance or disturbance of the easyOffice or other Customers in the Premises.
(i) Bring or use any outside appliances without the consent of easyOffice.
(j) Bring pets or other animals into the Accommodation.
(k) Affix or display anything in the windows or doorways of the Accommodation without consent in writing from easyOffice.
(l) Be entitled to any compensation as a result of any failure of data security or computer systems or as a result of easyOffice failing to provide any of the services in accordance with this Licence as a result of any breakdown or strike or delay or failure of any staff, manager or caretaker to perform their duties.
(m) Use any services in the Accommodation other than those offered by easyOffice. The easyOffice shall be entitled to bar the use of any telephone numbers that permit the Customer to bypass the easyOffice’s service providing national and international call connections and the Customer agrees not to use any third party for the provision of such services.
(n) Provide any services for any other Customer in the Premises without the prior written agreement of the easyOffice.
13. The Customer shall:
(a) Observe and adhere to all the rules and regulations from time to time made by easyOffice for the management of the Accommodation.
(b) Conduct the Customer’s business from the Accommodation in a way which does not interfere with the easyOffice or any other Customers of the Premises, and the Customer shall comply with all laws and any other requirements regulating the conduct of the Customer’s business.
(c) Vacate the Accommodation on the expiry of this Licence i.e. by 8pm on the last day of the booking. The Accommodation must be left in the same condition as it was found at the beginning of the Term damage by fair wear and tear excepted. The easyOffice does not accept any responsibility for any item of furniture, personal effects or other belongings left in the Accommodation and has the right to dispose of such property, the costs of such disposal being the responsibility of the Customer.
(d) If the Customer’s belongings have been left in the office subsequent to their termination, the Customer must arrange for someone to remove the belongings no later than the last day of the Licence. Otherwise easyOffice will dispose of the Customer’s belongings and is entitled to charge the Customer for removal and storage at the cost to easyOffice plus 20%.
(e) On the expiry of this Licence to return to the easyOffice all keys and other means of access to the Accommodation and the Premises and whenever any key or other means of access is lost to report such loss forthwith to the easyOffice and to pay on demand the cost of replacing such key or other means of access and the cost of replacing any lock changed by the easyOffice.
(f) Indemnify the easyOffice and its respective officers, employees and agents, from all claims, liability, or loss, and all damages and costs incurred by the easyOffice which arise out of the use of the Accommodation by the Customer. The Customer shall maintain adequate insurance against all such risks.
EASYOFFICE’S RIGHTS AND RESPONSIBILITIES
14. The easyOffice shall:
(a) Keep the sanitary facilities in the Premises in working order and properly cleaned and equipped.
(b) Keep the Accommodation adequately lit and provide reception and switchboard services during normal opening hours, which shall mean between 09:00 and 17:00 hours Monday to Friday (excluding bank/statutory holidays in England).
(c) Maintain and renew as may be the fire fighting equipment in the Accommodation.
(d) Provide insurance sufficient to meet the requirements of the Employer’s Liability (Compulsory Insurance) Act 1969 in respect of the easyOffice’s employees and also covering property belonging to or provided by the easyOffice.
(e) Not be under liability for failure to have any of the office facilities available for the Customer because of use by any other person within the Premises and easyOffice shall not be liable to the Customer if for any temporary reason the Customer shall be unable to obtain access to the Accommodation.
(f) Have the right at any time to enter the Accommodation to inspect it, to provide services, to make repairs and alterations and to show the Accommodation to prospective Customers and others such as fire or building inspectors who need to see the Accommodation.
GENERAL
15. This Licence is personal to the Customer and is not assignable. The Customer is responsible for its use of the Accommodation and fees incurred in relation to the same.
16. All notices must be in writing. Notices to the Customer will be considered served if handed personally to one of the Customer’s staff at the Accommodation. Notices to easyOffice will be considered served if mailed by registered or recorded mail, postage prepaid, to the easyOffice at easyOffice’s address shown overleaf, or such other address as the easyOffice shall designate to the Customer in writing.
17. The invalidity or unenforceability of any provision of this Agreement shall not affect or impair the validity of any other provision. No waiver of any default of the Customer shall be implied from any failure by easyOffice to take action with respect to such default.
18. Where the Customer comprises more than one individual such individuals shall be jointly and severally liable to observe and perform the Customer’s obligations under this Agreement.
19. This Agreement supersedes any prior agreement and embodies the entire agreement between the Customer and easyOffice and may not be modified, changed or altered in any way except as agreed by both parties in writing. This Agreement shall be interpreted and enforced in accordance with the laws of England and Wales.
20. This Agreement creates no rights in any third parties to enforce its terms pursuant to Section 1 of the Contracts (Rights of Third Parties) Act 1999.
